PLEASE READ THIS AGREEMENT CAREFULLY BEFORE CLICKING "ACCEPT" AT THE BOTTOM OF THIS PAGE.
JVCKENWOOD Corporation("JKC") grants to the End-User ("You") the right to use the updates for the camera pre-installed PC software and the HD memory camera user manual ("Software") for your HD memory camera ("Product") available for download from the JKC website under the following conditions.
1. Copyright
The copyrights and other intellectual property rights of the Software belong to JKC, and its licensor(s), and remain vested in JKC and its licensor(s). The Software is protected under the copyright laws of Japan and other countries, and related conventions.
2. Grant of License
Subject to the conditions of the Agreement, JKC grants You a non-exclusive and non-transferable right to use the Software on the Product. You may download the Software to you PC ("Specific PC"), and install the Software to the Product connected to the Specific PC.
You may make a copy of the Software for your back-up and storage purposes only.
3. Restriction
- i) The Software and its related documents belong to JVC and its licensor(s), and remain vested in JVC and its licensor(s). You may not use the Software or its related documents in any other way than allowed in this agreement.
- ii) You may not modify, reverse engineer, decompile or disassemble the Software in any manner.
- iii) You have no right to grant a license to use the Software, and may not distribute, lease or rent the Software to any other person for any purpose.
- iv) You shall comply with the laws and regulations of the applicable countries of the Software.
4. Transfer
You may make copies of the Software for personal and individual use, without limitation of volume, and distribute such copies, provided that:
- i) You do not possess the Agreement, the Product containing the Software, and all the copies of the Software, and documents and media related to the Product after transfer.
- ii) The person receiving has agreed to this Agreement.
5. Limited Warranty
The software is provided "as is" without warranty of any kind. JVC makes no guarantee of any kind, expressed or implied, regarding the Software's merchantability and fitness for a particular purpose. Should there be any problems arising from or cause by the software, you should settle all such problems at your own costs and responsibilities.
6. Limitations of Liability
JKC will have no liability with respect to its obligations under this agreement or otherwise for consequential, exemplary, incidental or punitive damages even if it has been advised of the possibility of such damages. You will indemnify and hold JKC harmless from any loss, liability or costs arising out of or in any way connected to claims from any other persons relating to the use of the software. You will equally indemnify and hold harmless the author of the third party software from such damages. JVC shall regard that you consent to make no claim of any kind to the author of the third party software.
7. Term
This agreement will become effective on the date when You download and install the Software onto the Specific PC, and continue to be in effect until the termination as the article 8 below.
8. End of term
Should You breach any provision of this Agreement, JVC may terminate this Agreement without giving any notice to You. In this event, JVC may claim against You, any damages caused by Your breach. Should this Agreement be terminated, You must discontinue the use of the Software, and shall not be allowed to possess the Software in the Product.
9. Export Control
You agree to comply with all applicable international and national laws and regulations regarding export control that apply to the Software.
10. U.S. Government User
If you are an agency of the United States of America (the "Government"), you acknowledge JVC's representation that the Software is a "Commercial Item" as defined in Federal Acquisition Regulation (FAR) part 2.101(g) consisting unpublished "Commercial Computer Software" as those items are used at FAR part 12.212 and is only license to you with the same use right JVC grants all commercial end users pursuant to the terms of this Agreement.
11. Others
Unless otherwise signed by the lawful representative of JVC, any, amendment, modification, addition or deletion shall be void.
JVC may add and/or modify articles on this Agreement without notice. In such a case, you should agree that the new articles will be applied for usage of the Software.
Should any of the conditions of the Agreement be void under Japanese law, the rest of the conditions remain valid.
The Agreement shall be governed by and interpreted under the laws of Japan. The Tokyo District Court has jurisdiction over all disputes which may arise with respect to the execution, interpretation and performance of this Agreement.
